Version: 2 Effective date: April 12, 2026. About this document: this is a legal document of the VOSCOM.ONLINE website. VOSCOM.ONLINE is an international MVP/demo resource for AI-assisted embedded systems and Industrial IoT development: MWOS projects, device configuration, firmware builds, browser terminal/flashing tools, engineering documentation, news, market items, and professional collaboration. ## 1. Parties, Document, and Order of Application 1.1. This Platform License / End User License Agreement (the “License”) governs the use of the VOSCOM.ONLINE platform software layer provided by LIMITED LIABILITY COMPANY “VOSCOM-ONLINE” (LLC “VOSCOM-ONLINE”), registered in the Russian Federation, Moscow; Primary State Registration Number (OGRN) 1217700640189, Taxpayer Identification Number (INN) 9719021912, Tax Registration Reason Code (KPP) 771901001, address: Apt. 72, 50 Sirenevy Boulevard, intracity territory municipal district Eastern Izmailovo, Moscow, 105484, Russian Federation (the “Rights Holder”, “we”, “us”). This License applies to the international MVP segment of VOSCOM.ONLINE; the Russian segment VOSCOM.RU, enterprise deliveries, local installations, and the subsequent transfer of the international segment to a foreign operator may be governed by separate terms. 1.2. This License applies together with the Terms of Use, Privacy Notice, Acceptable Use Policy, separate plan terms, order forms, technical specifications, and other documents expressly incorporated by reference or by text. In the event of a conflict: - a separate written agreement / order form shall prevail over this License for the relevant customer; - the terms of a specific open-source license shall prevail with respect to the relevant open-source component; - the Terms of Use govern access to the service and use of the account as a whole, while this License governs the grant and limits of rights in the software and platform layer. 1.3. By using the service, including the web interface, API, AI tools, cloud build, project sections, and other platform features, you confirm your acceptance of this License. ## 2. What Is Licensed 2.1. For purposes of this License, the “Platform” means the interfaces, server-side logic, orchestration layer, build pipelines, AI tools, cloud panels, user account area, metadata libraries, registry mechanisms, documentation interface, APIs, anti-abuse tools, commercial features, and other components that are not expressly licensed to you as open-source software. 2.2. The Platform may include: - proprietary components of the Rights Holder; - third-party components; - open-source components distributed under the applicable licenses; - content, documentation, templates, manifests, diagrams, metadata, compatibility data, and other materials. 2.3. Nothing in this License transfers to you any ownership rights in the Platform, its code, source files, models, service databases, orchestration logic, internal registries, compatibility maps, trademarks, design assets, or other elements, except for the limited use license expressly granted herein. ## 3. License Grant 3.1. Subject to compliance with this License and other applicable terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Platform only within the scope of its standard functionality: - through the official web interface and other permitted client interfaces; - through the API, if such access has been expressly granted to you; - within the limits of the paid plan, trial period, enterprise order, or other authorized access channel; - solely for your internal lawful purposes, unless otherwise agreed in writing. 3.2. If the Platform provides for local installation, local delivery, a private registry, enterprise agent, edge node, or any other deployment outside the standard web segment, such rights arise only under a separate written agreement. By default, this License does not grant you the right to independently deploy the proprietary platform layer. ## 4. Open-Source Components and Priority of OSS Licenses 4.1. Certain parts of the ecosystem, including MWOS or separate modules, libraries, examples, tools, scripts, firmware components, and documentation, may be distributed as open-source. Each such component is governed by the terms of the applicable license specified in the repository, source files, package metadata, NOTICE files, or documentation. 4.2. If a component is distributed under the Apache License 2.0, MIT, GPL, LGPL, or another license, your rights and obligations with respect to that component are determined by that specific license, and not by the general provisions of this License. 4.3. This License does not restrict any rights that a mandatory open-source license already grants to you directly, and does not expand such rights beyond the scope of the applicable open-source license. 4.4. You are solely responsible for complying with all notices, attribution requirements, source code availability requirements, distribution terms, and other obligations applicable to the open-source components you use. ## 5. License Restrictions 5.1. Unless otherwise expressly permitted by mandatory law or a separate written agreement, you are prohibited from: - copying, reproducing, selling, renting, sublicensing, providing as a service bureau, or otherwise commercially exploiting the Platform outside the permitted use case; - obtaining or attempting to obtain source code, source models, system prompts, internal manifests, compatibility graphs, orchestration logic, metadata, or other service materials not intended for disclosure; - bypassing technical restrictions, paid-feature restrictions, rate limits, access-rights checks, signature checks, build restrictions, anti-abuse mechanisms, geographic restrictions, or plan limitations; - removing or modifying copyright, trademark, license, attribution, or other rights notices; - using the Platform for competitive analysis, building a substitute service, extracting datasets, collecting model data, mass automated data collection, automated export of registry data, or otherwise copying commercially significant parts of the Platform; - granting third parties access to the Platform under your account, unless this is provided for by the applicable plan, seat logic, or enterprise access structure; - using Platform outputs as if they constituted engineering certification, a legal opinion, regulatory authorization, or a binding safety warranty. ## 6. BYOK, Third-Party Models, and Third-Party Services 6.1. If the Platform supports BYOK, external APIs, LLM providers, third-party build chains, cloud providers, repositories, registries, or other third-party services, their use may also be governed by the respective providers’ own terms. 6.2. You are responsible for the lawful use of your third-party API keys, credentials, licenses, and subscriptions, as well as for compliance with the terms of the relevant third-party providers. 6.3. We do not grant you any rights in third-party software products, models, or services beyond those expressly provided under their own terms. ## 7. User Inputs, Projects, and Responsibility for Them 7.1. You retain rights in your original user materials to the extent you hold such rights: AI prompts, project descriptions, configuration data, diagrams, manifests, code fragments, uploaded files, documentation excerpts, and other materials lawfully uploaded by you (“Input Materials”). 7.2. You warrant that you have all necessary rights, permissions, and lawful grounds to upload, process, and use the Input Materials through the Platform. 7.3. You may not upload confidential materials of third parties, personal data, regulated datasets, materials subject to export control, or any other data that you are not authorized to use in the service. 7.4. This License does not transfer ownership of your Input Materials to us; however, you grant us a limited right to use them to the extent necessary for the operation of the service, security, abuse prevention, logging, support, billing, incident investigation, and other purposes described in the Terms of Use and the Privacy Notice. ## 8. AI Output, Generated Results, and Engineering Review 8.1. The Platform may generate configurations, manifests, code suggestions, firmware artifacts, build scripts, connection diagrams, compatibility hints, explanations, reports, and other output results (“Results”). 8.2. Unless otherwise provided by a mandatory open-source license, third-party rights, or a separate written agreement, rights in the Results generated for you through lawful use of the service and paid/authorized access are transferred to you to the extent necessary for their use, modification, and implementation in your projects. 8.3. Notwithstanding Section 8.2: - Results may include open-source or third-party components, the rights to which are governed by the applicable licenses; - Results may not be unique, and similar results may be generated for other users; - we do not warrant patent clearance, non-infringement of third-party rights, engineering fitness, or safety of the Results; - Results are provided as instrumental materials requiring your own professional review, testing, and validation. 8.4. You must independently review and validate any Result before applying it in equipment, firmware, industrial environments, field deployments, commercial products, customer systems, or any other scenarios where an error may cause losses or harm. ## 9. Prohibition on Critical and Hazardous Uses 9.1. Unless otherwise agreed in a separate written agreement expressly specifying the scope of warranties, SLA, and allocation of responsibility, the Platform and Results are not licensed for use as the sole or final control logic in systems that are safety-critical, life-critical, mission-critical, medically regulated, nuclear, aviation-related, weapons-related, emergency-response, transportation-related, or other high-risk systems. 9.2. Any use of the Platform in critical or regulated scenarios without a separate written agreement is undertaken solely at your own risk. ## 10. Feedback, Suggestions, and Contributions 10.1. If you provide us with feedback, issue reports, feature requests, test results, improvement suggestions, review comments, compatibility notes, performance observations, or other suggestions for improving the Platform (“Feedback”), you grant us a non-exclusive, worldwide, irrevocable, perpetual, royalty-free right to use such Feedback for the development, improvement, documentation, commercialization, and support of the Platform without payment of any compensation to you, unless otherwise expressly agreed in writing. 10.2. If you knowingly contribute to an open-source repository, issue tracker, pull request, or other channel intended for accepting contributions to an open-source component, such contribution may be governed by the terms of the applicable open-source license, contribution rules, CLA, or DCO, if applicable to the specific project. ## 11. Reservation of Rights and Trademarks 11.1. All rights not expressly granted to you under this License are reserved by the Rights Holder and/or the respective rights holders of open-source or third-party components. 11.2. VOSCOM, VOSCOM.ONLINE, MWOS, AI Forge, logos, branding elements, trade names, service marks, visual identity elements, and other designations are the property of the Rights Holder or are used by it on a lawful basis. This License does not grant you the right to use such designations, except for permitted descriptive use to indicate compatibility or origin, where expressly permitted by law or by written authorization of the Rights Holder. ## 12. Subscription, Payment, and Consequences of Access Termination 12.1. Certain rights under this License depend on an active subscription, trial access, enterprise order, paid period, or other authorized access right. 12.2. Upon expiration or termination of access, your rights to use the Platform terminate to the extent they were tied to service access. This does not deprive you of any rights in lawfully obtained open-source components or previously generated Results that have already arisen under the applicable license or separate agreement, unless prohibited by law. 12.3. We may suspend or terminate this License, in whole or in part, if you violate the Terms, this License, the law, sanctions requirements, export control rules, or the technical rules of the service. ## 13. System Training and Use of Service Data 13.1. The use of Input Materials, Results, project metadata, logs, and other data for service improvement, quality analytics, abuse prevention, reliability tuning, or other product purposes is governed by the Terms of Use and the Privacy Notice, and, for enterprise customers, also by separate order forms, data processing agreements, and enterprise agreements. 13.2. If a specific plan, enterprise package, or separate document provides for a no training on customer content regime, that regime shall prevail over the general provisions of this Section. ## 14. Warranty Disclaimer 14.1. To the maximum extent permitted by applicable law, the Platform, Results, documentation, compatibility hints, build results, AI features, examples, templates, manifests, and other materials are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind. 14.2. We expressly do not warrant that: - the Platform will be error-free, uninterrupted, or fully secure; - the Results will be correct, suitable for deployment, fully compatible with your hardware and software stack, or free from defects; - any engineering hypothesis, code, diagram, or compatibility suggested by the Platform will meet the requirements of your project, customer, industry standard, or regulator; - the Platform will be available at any given time or in any country. ## 15. Limitation of Liability 15.1. To the maximum extent permitted by applicable law, the Rights Holder shall not be liable for any indirect, incidental, special, punitive, or consequential damages, loss of profits, loss of data, downtime, losses caused by build failures, firmware errors, configuration errors, incorrect compatibility, equipment failures, production incidents, or third-party claims arising out of the use of, or inability to use, the Platform and Results. 15.2. If applicable law does not allow liability to be fully excluded, the Rights Holder’s aggregate liability under this License shall be limited to the amount actually paid by you to the Rights Holder for access to the Platform during the 12 months preceding the event giving rise to the claim, or USD 100, if no payment was made or if this is more appropriate for your business model. 15.3. Nothing in this License excludes or limits any liability that cannot be limited under mandatory law. ## 16. Indemnification 16.1. You agree to defend, indemnify, and hold harmless the Rights Holder, its affiliates, employees, contractors, and partners from and against any claims, losses, expenses, fines, and reasonable legal costs arising out of: - your breach of this License, the Terms of Use, the Acceptable Use Policy, or the law; - your Input Materials, projects, implementations, deployments, sales, integrations, or instructions to third parties; - your use of Results without proper engineering review or validation, or in violation of restrictions on critical uses; - your violation of third-party rights or regulatory requirements. ## 17. Export Control and Sanctions 17.1. You agree to comply with applicable export control rules, sanctions restrictions, trade restrictions, and other mandatory international restrictions. 17.2. You may not use the Platform if you are subject to prohibitions that would make such use unlawful for the Rights Holder or its providers. ## 18. Changes to the License 18.1. We may update this License from time to time. The new version takes effect as of the date stated in the document, unless another effective date is specified. 18.2. Material changes may additionally be communicated through the service interface, by email, or by other reasonable means. Your continued use of the Platform after the changes take effect constitutes acceptance of the updated version. ## 19. Contact 19.1.
